Terms of Service — Craft
Provider: Upside LMS LMSHRTech Pvt Ltd (“Upside LMS LMS”, “we”, “us”, or “our”)
Product: Craft — a GenAI-powered, multilingual microlearning platform(the “Service” or “Craft”)
PLEASE READ THESE TERMS CAREFULLY. Byaccessing or using Craft you agree to these Terms. If you accept these Terms onbehalf of an organization, you represent and warrant that you have authority tobind that organization and that “you” refers to that organization.
1. Scope andAcceptance
These Terms govern your access to and use of Craft, including allwebsite pages, software, APIs, documentation, and related services. The personwho creates the account is the Account Administrator and is authorizedto manage billing, invite users, and accept these Terms on behalf of anorganization. The Account Administrator is responsible for all activities thatoccur under the account.
2. Eligibility
You must be at least 18 years old and legally able to enter contracts.If you are registering on behalf of a legal entity, you confirm you haveauthority to bind that entity.
3. AccountRegistration & Security
- You agree to provide accurate, current and complete information when registering.
- Keep your login credentials confidential and notify us immediately of any unauthorized use.
- You are responsible for activities performed by persons you authorize to access your account.
- We may suspend or terminate accounts for fraudulent or abusive activity.
4. Plans, Features,and Free Plan
- Craft is offered as a forever free plan and paid subscription plans (monthly and annual). The free plan does not expire.
- Paid plans unlock additional features and seat allowances as described on our pricing page.
- We may from time to time change features associated with any plan; material changes to paid features will be communicated in advance.
5. Billing, PaymentMethods, and Taxes
- Accepted payment methods: credit card/debit card, UPI, and net banking.
- Paid subscriptions are billed in advance for the selected billing period (monthly or annual). Your subscription auto-renews at the end of each billing term unless canceled before renewal.
- All fees are exclusive of taxes. You are responsible for all taxes, duties, or governmental charges associated with your purchase (including GST), except taxes on our income.
- We use third-party payment processors to collect and process payments. By providing payment information you authorize us and our processors to charge the payment method you provide.
6. Upgrades,Downgrades, and Seat Management
- You may upgrade or add seats at any time. Charges for upgrades are billed pro rata for the remainder of the billing period and then at the new plan rate on renewal.
- Downgrades or reductions in seats take effect at the next billing cycle. Downgrading may limit access to features or seats and could result in reduced functionality.
- The Account Administrator manages seat assignments and is responsible for compliance with seat limits.
7. Cancellation andTermination (Subscription)
- You may cancel a paid subscription at any time via account settings or by contacting support. Cancellation stops auto-renewal; access to paid features continues until the end of the paid billing period.
- We may suspend or terminate your access immediately for breach of these Terms, non-payment, or conduct that harms the Service or other users.
- Upon termination, your access ends and we may delete or archive your data in accordance with our data retention practices.
8. Refunds — ShortSummary
- Fees for paid subscriptions are generally non-refundable. Refunds are granted only as described in our Refund & Cancellation Policy. Please review that policy for details on exceptions and the refund process.
9. User Content andLicense
- You retain ownership of content you upload or create within Craft (“User Content”).
- By uploading User Content you grant Upside LMS LMS a non-exclusive, worldwide, royalty-free license to host, reproduce, modify, and deliver that content as necessary to provide the Service.
- You represent and warrant that you have all rights required to upload User Content and that such content does not violate any law or third-party rights.
10. IntellectualProperty Rights
- All rights, title and interest in the Service, software, documentation, and branding belong to Upside LMS LMS or its licensors. No rights are granted to you other than the limited right to use the Service under these Terms.
11. Acceptable Use
- You will not use the Service to upload, store, or transmit unlawful content, malware, or content that infringes third-party rights.
- You will not attempt to reverse engineer, decompile, or otherwise access source code or systems beyond permitted interfaces.
- We may remove or disable access to content that violates these Terms.
12. Data Protectionand Privacy
- Our processing of personal data is governed by our Privacy Policy, which explains what data we collect, how we use it, and your rights. The Privacy Policy is incorporated by reference into these Terms.
- We implement reasonable technical and organizational measures to protect personal data. Payment card data is processed by our third-party payment processors and is not stored on our servers in raw form.
13. Service Availability,Maintenance & Support
- We will make commercially reasonable efforts to ensure Service availability but cannot guarantee uninterrupted access.
- We may schedule maintenance windows and will attempt to notify affected customers in advance.
- Support is provided through our support channels as described on the pricing or support page.
14. Warranties andDisclaimers
- The Service is provided “as is” and “as available.” To the fullest extent permitted by law we disclaim all warranties, express or implied, including fitness for a particular purpose and non-infringement.
- We do not warrant that the Service will be error-free or uninterrupted.
15. Limitation ofLiability
- To the maximum extent permitted by applicable law, Upside LMS LMS’s aggregate liability for all claims arising from or relating to these Terms or the Service shall not exceed the amount paid by you to Upside LMS in the twelve (12) months preceding the claim.
- Upside LMS is not liable for indirect, incidental, special, punitive or consequential damages, including lost profits, business interruption, or loss of data.
16. Indemnity
- You agree to indemnify and hold Upside LMS harmless from claims, liabilities, losses, and expenses arising from your violation of these Terms, your User Content, or your negligence or willful misconduct.
17. Changes to theService or Terms
- We may change the Service or these Terms. For material changes, we will provide at least thirty (30) days’ notice. Continued use after notice constitutes acceptance.
18. Governing Lawand Dispute Resolution
- These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Pune, Maharashtra, India. Alternatively, we may agree to arbitration seated in India.
19. Severabilityand Assignment
- If any provision is found unenforceable, the remaining provisions remain in effect. You may not assign your rights under these Terms without our prior written consent. Upside LMS may assign to an affiliate or successor.
